These Agent Listing and Referral Terms and Conditions ("Agreement") govern the relationship between Shared Space Hub FZ-LLC ("Platform," "us," "we," or "our") and the authorized real estate agent ("Agent" or "You") utilizing the Platform’s website, https://www.sharedspacehub.com/ (the "Service"), for property listing and marketing purposes.
By registering an account, listing a property, or otherwise using the Service, the Agent agrees to be bound by all terms and conditions of this Agreement.
1. Definitions and Acceptance
Platform: www.sharedspacehub.com and its associated operating entity.
Agent: The natural or legal person utilizing the Service to list properties.
Leads: Potential buyers or tenants introduced to the Agent by the Platform.
Primary Commission: The standard commission paid to the Agent by the property owner, buyer, or tenant for a closed transaction.
Service: The Platform's website and marketing channels used to list and promote properties.
2. Purpose of the Platform and Services
This Agreement allows the Agent to list eligible properties on the Platform’s website, or associated marketing channels. The Platform will market the listings and introduce potential buyers or tenants (“Leads”).
The Agent may participate under one of the following arrangements:
- Commission Agent: The Agent receives the Primary Commission from the owner/buyer/tenant and agrees to pay the Platform a referral fee as defined in Section 4.
- Paid Listing Agent: The Agent pays a listing fee to the Platform for marketing exposure without sharing the Primary Commission for transactions.
3. Agent Roles, Licensing, and Compliance
3.1 Licensing & Compliance
- The Agent confirms they hold a valid UAE real estate brokerage licence under the laws of the emirate where each listed property is located (if acting as a Commission Agent).
- The Agent agrees to provide a licence copy and RERA/broker ID (where applicable) before account activation.
- Paid Listing Agents who do not hold a broker licence must ensure they are legally allowed to list properties for marketing purposes within the UAE.
- The Platform acts strictly as a marketing/referral service and is not a legal party to property negotiations, contracts, or transaction closing.
3.2 Property Listings & Owner Consent
- The Agent confirms they have written authority from the property owner to market and list the property.
- No property will be uploaded without proof of this authorization, which the Agent must produce upon request by the Platform.
- The Agent remains fully responsible for ensuring the accuracy of property information, conducting viewings, negotiation, and closing of transactions (for Commission Agents).
- Paid Listing Agents are solely responsible for ensuring property legality, ownership verification, and the accuracy of all listing information.
4. Financial Terms, Commission, and Fees
4.1 Commission Agents
- Primary Commission: Standard market commission remains payable by the owner or buyer/tenant as negotiated and received by the Agent.
- Platform Referral Fee: The Agent agrees to pay the Platform a referral fee of _____% of the Agent’s received Primary Commission, excluding VAT. (Default range: 20–50%).
- VAT: VAT (5%) applies to the Platform’s referral fee if the Platform is VAT-registered.
4.2 Paid Listing Agents
- The Agent agrees to pay a listing fee of AED ______ per property or under a subscription plan, as invoiced by the Platform.
- Listing fees are taxable service fees if the Platform is VAT-registered (5%).
- Paid Listing Agents do not owe commission or referral fees to the Platform.
4.3 Payment Terms
- Commission Agents: The Agent shall notify the Platform of any deal originating from a Platform Lead. Platform fees are due within 10 business days of the Agent receiving their Primary Commission.
- Paid Listing Agents: Listing fees are invoiced upfront or per billing cycle and are due per invoice terms.
- The Platform may request proof of transaction closure for commission deals (e.g., Ejari, title deed transfer, closing memo, or proof of funds).
5. Intellectual Property and Limited License
The Service and all original content (excluding Agent listings), features, and functionality, including but not limited to text, graphics, logos, images, and software, are and will remain the exclusive property of the Platform and its licensors. The Agent grants the Platform a worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, and publish the property listings and related content submitted by the Agent on the Service and associated marketing channels.
6. Confidentiality and Data Handling
- Confidentiality: Lead information shared by the Platform is strictly confidential and may only be used by the Agent for the specific purpose of property closing or marketing purposes as mutually agreed upon.
- Data Compliance: Both parties agree to comply with all applicable UAE data protection principles and regulations concerning the collection, storage, and processing of personal data related to Leads.
7. Liability, Indemnification, and Disclaimers
7.1 Platform Disclaimer
The Platform is not responsible for property defects, legal issues, negotiations, contract drafting, payment disputes, or screening of buyers/tenants. The Service is provided "AS IS," without warranties of any kind, whether express or implied.
7.2 Agent Indemnification
The Agent fully indemnifies and holds harmless the Platform, its directors, employees, and agents against any and all claims, damages, liabilities, and expenses (including legal fees) arising from or related to:
- The Agent’s misrepresentation, negligence, or fraudulent activity.
- The Agent’s non-compliance with UAE licensing laws or these Terms.
- Any claims arising from inaccurate or unauthorized property listings.
- Any dispute between the Agent and a property owner, buyer, or tenant.
7.3 Limitation of Liability
To the maximum extent permitted by applicable law, the Platform shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from the use or inability to use the Service.
8. Duration and Termination
- Duration: This Agreement is valid for 12 months from the date of activation and renews automatically for successive 12-month periods unless either party gives 30 days’ written notice prior to the renewal date.
- Survival: Commission owed for ongoing deals (where a Lead was introduced prior to termination) survives termination and must be paid as per Section 4.3.
- Refunds: Paid Listing fees already invoiced are non-refundable upon termination unless otherwise agreed in writing.
The Platform may suspend or terminate the Agent’s account immediately for breach of these Terms, particularly in matters related to licensing, payment obligations, or property authorization.
9. Governing Law and Jurisdiction
This Agreement is governed by the laws of the United Arab Emirates.
The competent courts or arbitration centre in the Emirate of Ras Al Khaimah (RAK) shall have exclusive jurisdiction over any disputes arising under or in connection with this Agreement, unless otherwise agreed by the parties in writing.
10. General Website Provisions
10.1 Prohibited Use
The Agent agrees not to use the Service for any unlawful or unauthorized purpose, including transmitting spam, viruses, or attempting to gain unauthorized access to the Platform’s systems.
10.2 Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to the Agent via email or an in-platform notice. Continued use of the Service following such notification constitutes acceptance of the modified terms.
